1. Introduction

These Terms of Service govern your use of design and creative services provided by Sarthak Verma . By engaging our services, you agree to be bound by these Terms.

Sarthak Verma is a Creative design partner specializing in product UI design, app UI design, website design and development for SaaS companies and early stage startups.

2. Acknowledgement

These Terms govern the agreement between you and Sarthak Verma. By engaging our services — whether through our website, email, or any other channel — you agree to these Terms in full.

Your access to and use of our services is conditioned on your acceptance of and compliance with these Terms, as well as our Privacy Policy, which describes how we collect and handle your personal information.

3. Our Services

Sarthak provides professional design services including but not limited to:

• Product Design

• Website Design

• Website Development using Framer and WordPress

The specific scope of services, deliverables, timelines, and fees for each project will be agreed upon in writing via a separate project proposal or contract.

4. Who May Use Our Services

You may engage our services if you are legally capable of forming a binding agreement. If you are engaging our services on behalf of a company or organisation, you represent and warrant that you have the authority to bind that entity to these Terms.

Our services are intended for individuals aged 18 years or above. Minors may not engage our services without the consent and active involvement of a parent or legal guardian.

5. Client Responsibilities

To ensure the best outcome for your project, you agree to:

• Provide accurate, complete, and timely information required for the project

• Provide timely feedback and approvals within agreed timeframes

• Ensure you have the rights to any materials, logos, images, or content you provide to us

• Make payments as per the agreed schedule

6. Intellectual Property & Ownership

Upon receipt of full and final payment, Sarthak Verma assigns to the Client all rights, title, and interest in the final approved deliverables created specifically for the Client.

Sarthak Verma retains the right to display the completed work in its portfolio, on its website, and across social media platforms for promotional purposes, unless the Client specifically requests otherwise in writing.

All preliminary concepts, drafts, unused designs, and working files remain the property of Sarthak Verma unless explicitly agreed otherwise in writing.

7. Fees & Payment

All project fees will be outlined in a project proposal or contract agreed upon before work commences. Sarthak Verma typically requires a deposit before work begins, with the balance due upon project completion or as per the agreed milestone schedule.

Sarthak Verma reserves the right to update its pricing at any time. Such changes will not affect projects already in progress under an existing agreement.

All fees are exclusive of applicable taxes unless stated otherwise. Clients are responsible for any taxes applicable to their jurisdiction.

Late payments may result in work being paused until outstanding balances are cleared.

8. Revisions & Changes

The number of revisions included in a project will be specified in the project proposal. Revisions beyond the agreed scope may be subject to additional fees.

Significant changes to the project brief after work has commenced may require a revised proposal and additional fees.

9. Confidentiality

Sarthak Verma agrees to keep confidential any sensitive business information shared by the Client during the course of the project. This obligation does not apply to information that is publicly known, independently developed, or required to be disclosed by law.

10. Disclaimer of Warranties

While Sarthak Verma strives to deliver the highest quality work, we do not guarantee specific business outcomes (such as increased sales or conversions) as a result of our design services. Design is one of many factors that influence business performance.

11. Limitation of Liability

Sarthak Verma's total liability to the Client for any claim arising out of or in connection with our services shall not exceed the total fees paid by the Client for the specific project giving rise to the claim.

Sarthak Verma shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits or business opportunities.

12. Indemnification

You agree to indemnify and hold harmless Sarthak Verma and its team members from and against any claims, damages, losses, or expenses (including legal fees) arising from:

• Your breach of these Terms

• Your violation of any third-party rights, including intellectual property rights

• Content or materials you provide to Sarthak Verma that infringe third-party rights

13. Termination

Either party may terminate a project engagement with written notice. In the event of termination, the Client shall pay for all work completed up to the date of termination. Sarthak Verma deliver all completed work upon receipt of payment for work done.

14. Changes to These Terms

Sarthak Verma reserves the right to update these Terms at any time. The most current version will always be available on our website. Continued engagement with our services after any changes constitutes acceptance of the updated Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of India.
